1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Fugoz Services LLC, operator of SFA – Structural Flow Analytics (“SFA,” “we,” “us,” or “our”).

By accessing or using the website and subscription services (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Service.

2. Nature of the Service

SFA provides structured market event notifications derived from predefined flow-based analytical models.

The Service:

  • Is informational in nature

  • Does not provide investment advice

  • Does not provide trading advice

  • Does not provide legal, financial, or tax advice

  • Does not execute trades

  • Does not manage assets

  • Does not act as a broker-dealer or investment advisor

SFA is not registered with the SEC or any regulatory authority as an investment advisor.

No fiduciary relationship is created between SFA and the User.

All decisions made based on the Service are solely the responsibility of the User.

3. No Reliance & No Guarantee

You acknowledge that:

  • Financial markets involve inherent risk

  • Structural market events do not predict future performance

  • No strategy guarantees profitability

  • Past observations do not indicate future results

SFA makes no representations or warranties regarding accuracy, completeness, reliability, or profitability of any information provided.

4. Subscription & Billing

The Service operates on a recurring subscription model unless otherwise specified.

By subscribing, you agree that:

  • Payments are processed securely through Stripe

  • Subscriptions renew automatically unless canceled

  • You may cancel at any time via the customer portal

  • No refunds are provided for prior billing cycles

  • Access remains active until the end of the paid period

Failure to maintain valid payment credentials may result in suspension or termination.

We reserve the right to modify pricing with reasonable notice.

5. Risk Disclosure

Trading financial instruments involves substantial risk of loss, including the possible loss of all invested capital.

You agree that:

  • You are solely responsible for evaluating risks

  • You understand that losses may occur

  • You assume full responsibility for your trading decisions

SFA shall not be liable for trading losses, missed opportunities, or financial damages resulting from use of the Service.

6. Intellectual Property

All content, including but not limited to:

  • Structural models

  • Event classifications

  • Branding

  • Logos

  • Text

  • Platform design

are the exclusive property of Fugoz Services LLC.

Users may not:

  • Redistribute

  • Resell

  • Republish

  • Reverse engineer

  • Share account access

Unauthorized use may result in termination and legal action.

7. User Responsibilities

Users agree to:

  • Provide accurate account information

  • Maintain confidentiality of credentials

  • Use the Service lawfully

  • Not attempt to interfere with platform operation

You agree to indemnify and hold harmless Fugoz Services LLC from any claims arising from misuse of the Service.

8. Termination

We reserve the right to suspend or terminate accounts for:

  • Breach of these Terms

  • Fraudulent activity

  • Abuse or misuse

Termination does not entitle the User to refunds.

9. Limitation of Liability

To the maximum extent permitted by law:

SFA and Fugoz Services LLC shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Lost profits

  • Trading losses

  • Business interruption

Total aggregate liability shall not exceed the amount paid by the User during the preceding thirty (30) days.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We make no warranties, express or implied, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

We do not warrant uninterrupted access or error-free operation.

11. Force Majeure

We shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

  • Market disruptions

  • Internet outages

  • Regulatory actions

  • Natural disasters

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Any dispute shall be resolved in state or federal courts located in Texas.
